These terms and conditions between the User (hereinafter referred to as “you/your/User”) and Earlyfit Health Private Limited (hereinafter referred to as “we”/”our”/”us”/”Early”) set out the binding terms and conditions governing the use of Early, and its software with respect to the use of the Early mobile application (“App”), any website (“Website”), (collectively, referred to as the “Platform”) and all related services, features, content, and functionalities offered by Early, including but not limited to our medically driven scientific weight loss program.
These terms and conditions, together with the Privacy Policy, Consent Notice, which are incorporated by reference into these Terms, and any other applicable rules, policies, and legal terms posted within the Platform (“Terms”), govern your use of the Platform.
You can indicate your acceptance of the Terms of the Platform by:
Early provides a technology platform that offers a medically driven scientific weight loss program. Additionally, it also acts as an intermediary that facilitates contact with medical professionals, partner laboratories, and partner e-pharmacies.
The Platform is designed to support users in achieving their weight management goals and may include:
Early functions primarily as a technology platform and intermediary, connecting you with qualified and licensed Care Team professionals. These professionals may be employees of Early, independent contractors, or affiliated with partner organisations associated with Early.
Medical advice, diagnoses, and prescriptions provided through Early’s services are delivered exclusively by independent, licensed medical doctors affiliated with Early. Early, as a corporate entity, does not practice medicine or offer medical advice, diagnoses, or treatment.
THE DOCTOR-PATIENT RELATIONSHIP IS ESTABLISHED DIRECTLY BETWEEN YOU AND THE AFFILIATED PHYSICIAN, IN ACCORDANCE WITH THE TELEMEDICINE PRACTICE GUIDELINES, 2020, AND OTHER RELEVANT MEDICAL REGULATIONS.
OTHER CARE TEAM MEMBERS, SUCH AS NUTRITIONISTS, COACHES, PHYSICAL THERAPISTS, AND PSYCHOLOGISTS, OFFER GUIDANCE AND SUPPORT STRICTLY WITHIN THEIR PROFESSIONAL SCOPES AND COMPETENCIES.
EARLY IS NOT RESPONSIBLE FOR THE PROFESSIONAL ADVICE, ACTS, OR OMISSIONS OF ANY CARE TEAM MEMBER.
User-Provided Data and Symptom Reporting: Early’s platform serves as a communication facilitator connecting you with healthcare professionals. You provide your health information and symptoms directly to the Care Team. The accuracy and completeness of the information depend entirely on your direct communication with the Care Team. Early does not verify or guarantee the accuracy of any information you share with your healthcare providers.
No Guarantee of Anomaly Detection or Medical Diagnosis: The Platform supports your connection to medical professionals, but should not be relied upon as your sole method for health monitoring or diagnosis. Early and the Care Team do not guarantee detection of all health issues or emergencies. You must not ignore symptoms or medical advice based on the absence of alerts or notifications from the platform. Immediate medical attention should be sought when necessary. Early disclaims all liability for failure to detect or communicate health concerns.
Service Availability and Connectivity: Early depends on third-party Care Teams and requires an internet connection to facilitate communication. The Platform or its features may be temporarily unavailable or delayed due to maintenance, outages, or connectivity problems. Early does not guarantee uninterrupted or real-time access to the Platform. Any downtime or delays may affect the timeliness or accuracy of information exchange.
The Platform are intended for use only by individuals residing in India. Early makes no representation that the Platform is appropriate or available for use in other locations.
User Responsibility and Communication Limitations: Since symptom reporting and health information exchange occur directly between you and the healthcare providers, Early is not responsible for the content, accuracy, or completeness of those communications. The Platform is a tool to enable connection, but it does not replace professional medical judgment or face-to-face consultations.
The Platform and its services are not designed or intended for use in medical emergencies or urgent health situations. If you are experiencing a medical emergency, including but not limited to severe chest pain, difficulty breathing, sudden severe headache, loss of consciousness, signs of a stroke, severe allergic reaction, uncontrolled bleeding, or any other acute or potentially life-threatening condition, you must immediately contact local emergency medical services (by calling 108 or 112 in India) or proceed directly to the nearest hospital or emergency room. You should not delay seeking urgent medical attention or rely on the Platform or Care Team for emergency medical needs. Early expressly disclaims any responsibility for any adverse outcomes resulting from failure to seek immediate emergency care.
Subject to compliance with these Terms, Early grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform. The right to use the Platform does not transfer any ownership interest or title of the Platform or any related intellectual property to you or any other third party. Early reserves the right to suspend or revoke access to the Platform without notice or liability.
Account Creation: To access and use most features of the Platform, you must purchase a subscription plan and create an account (“Account”) by completing the registration process via the Early App.
Eligibility Criteria: By creating an Account, you represent and warrant that:
Contraindications: You acknowledge that certain pre-existing medical conditions or factors, such as Type 1 Diabetes, history of pancreatitis, medullary thyroid cancer or family history thereof, Multiple Endocrine Neoplasia syndrome type 2 (MEN 2), severe renal impairment (e.g., eGFR <30 ml/min/1.73m²), active eating disorders (e.g., anorexia nervosa, bulimia nervosa), pregnancy, planning pregnancy, or breastfeeding, may render you ineligible for the program or specific components, including prescription medications like GLP-1 agonists. Final eligibility, especially regarding prescriptions, is determined solely by the clinical judgment of the affiliated prescribing doctor.
Accuracy of Information: You hereby expressly represent and warrant to:
You understand that providing false, inaccurate, outdated, or incomplete information may lead to suspension or termination of your Account, denial of the use of the Platform, and may pose risks to your health and safety. Early and its Care Team rely on the accuracy of this information to provide appropriate care.
Account Security: You are solely responsible for maintaining the confidentiality of your Account login credentials (username and password) and for all activities that occur under your Account, whether authorised by you or not. You agree to:
Early will not be liable for any loss or damage arising from your failure to comply with these security obligations.
Single Account: You may create and maintain only one Account for your personal use. Multiple accounts or shared accounts are prohibited.
Personalised Approach: The Early program offers a highly personalised approach to health and wellness management, designed to integrate your provided information with the guidance from your Care Team. This includes tailored diet plans, exercise recommendations, and lifestyle habit coaching.
Role of Prescription Medications (e.g., GLP-1 Agonists, Metformin): You acknowledge that the Early program is a medically supervised offering. The potential inclusion of prescription medications including but not limited to GLP-1 agonists (e.g., semaglutide, liraglutide, mounjaro/tirzepatide) or metformin is contingent upon and solely determined by the independent clinical judgment of an Early-affiliated, licensed medical doctor. This determination will follow a comprehensive medical assessment and consultation, establishing clinical appropriateness. The authority for decisions regarding the prescription of any medication, including its selection, dosage, and duration of treatment, resides exclusively with the affiliated prescribing doctor. This decision will be based on your individual health profile, medical history, clinical assessment, and adherence to applicable medical guidelines and regulations, including the Telemedicine Practice Guidelines, 2020. Early expressly disclaims any responsibility for the independent clinical decisions of affiliated prescribing doctors. Early does not endorse, promote, or guarantee the prescription of any specific medication, nor does it guarantee that any medication will be prescribed.
Doctor’s Responsibility: It is the sole and exclusive obligation of the affiliated prescribing doctor to provide you with comprehensive information concerning any proposed prescription medication. This information shall, at a minimum, encompass:
Your Informed Consent to Doctor: You are mandated to provide your explicit and informed consent directly to the prescribing doctor before any such medication is prescribed or treatment is initiated. This consent process forms an integral part of your direct doctor-patient relationship and is distinct from your agreement with Early. While the Platform facilitates communication channels, Early is not a party to this specific medical informed consent process between you and the doctor. Coaches or other non-medical Early staff are authorised solely to provide supportive information or reminders regarding medications as specifically directed by the prescribing doctor, but they are expressly prohibited from obtaining informed medical consent for prescriptions or providing medical advice concerning such prescriptions. You agree to use any prescribed medications strictly in accordance with the directions provided by the prescribing doctor and as precisely indicated on the e-prescription.
Reporting Side Effects: You agree to diligently and accurately report any adverse effects, side effects, or concerns related to prescribed medications to your prescribing doctor and/or designated Care Team member promptly through the App's daily side-effect check-in feature or other designated communication channels. Your diligent and timely reporting is critical for your safety and for the effective management of your treatment regimen.
Medication Adherence: The App may include features such as medication reminders to support your adherence to prescribed treatment. However, you retain ultimate and sole responsibility for taking your medications precisely as prescribed.
Pharmacovigilance: While Early does not currently maintain a formal internal pharmacovigilance system, any adverse drug reactions (ADRs) reported by you will be duly documented and escalated to the attention of the prescribing doctor for appropriate medical follow-up and management. Affiliated doctors are professionally obligated to comply with all applicable requirements regarding ADR reporting.
Access and Composition: As part of the Platform, you will be granted access to an affiliated Care Team. The specific composition of your Care Team may vary based on your selected program, individualised needs, and clinical determinations. Information regarding the general qualifications and experience of Care Team members (e.g., doctors holding MD or equivalent degrees, certified nutritionists) will be made available to you via the App or Website.
Teleconsultation Services: Interactions with the Care Team will occur primarily through teleconsultation modalities, including but not limited to secure in-App chat, audio calls, and video calls.
Consent to Teleconsultation: By accepting these Terms and utilising the Platform, you hereby explicitly and unequivocally consent to engaging in teleconsultations with the Care Team for the purpose of receiving health advice, medical consultations, therapy, coaching, and support as part of the Early program. This consent is obtained as part of your initial agreement to these Terms. You understand and agree that:
Professional Responsibility and Scope: Each member of the Care Team bears sole responsibility for the advice and services they provide within their respective scope of practice, licensure, and professional competence:
User Conduct with Care Team: You agree to interact with all members of the Care Team in a respectful, honest, and cooperative manner. You covenant to provide them with accurate, complete, and truthful information necessary for them to render their services effectively and safely.
User Authorisation for Facilitation: As an integral component of your participation in the Early program, and by accepting these Terms, you provide a limited, non-exclusive, and revocable one-time authorisation to Early to act on your behalf, for the duration of your active program subscription, to:
Consent for Data Sharing for Facilitation: Your acceptance of these Terms constitutes your explicit and informed consent for Early to:
Third-Party Responsibility and Relationship: Laboratory partners are independent entities solely responsible for the collection of samples, the conduct of tests, ensuring the accuracy and quality of test results, and their own data handling and privacy practices. Pharmacies are independent entities solely responsible for verifying prescriptions, accurately dispensing medications, adhering to all pharmacy laws and regulations, managing medication delivery, and their own data handling and privacy practices. Early acts exclusively as a facilitator to streamline these processes for your convenience. Early shall not be liable for the services, actions, omissions, errors, or data practices of these independent third-party laboratories or pharmacies. Your direct contractual relationship for the actual testing services or medication purchase and dispensing is with the respective third-party provider. Early will endeavour to partner with reputable and compliant service providers.
Accuracy of Information for Facilitation: You are solely responsible for providing and maintaining accurate and up-to-date information required for these facilitation services, including your correct name, contact number, and complete delivery address. Early shall not be liable for any failures or errors in service delivery resulting directly from inaccurate or incomplete information provided by you.
Collection and Use: You acknowledge that in the course of providing use of the Platform, Early staff or Care Team members may collect Personal Information and SPDI (as defined hereinafter) from you over the telephone or video calls. You understand that these calls may not always be recorded, and Early is under no obligation to record such calls. By accepting these Terms, you consent to the collection and use of such orally provided information for the purposes outlined in our Privacy Policy and as necessary for providing the Platform to you.
User Responsibility for Accuracy: You are exclusively responsible for the accuracy, truthfulness, and completeness of any information you provide orally during such calls. You agree to exercise your best efforts to ensure that all information shared is correct, factual, and not misleading.
Disclaimer of Liability for Oral Information: Early and its Care Team rely entirely on the information you provide, whether in writing or orally. Early shall not be held liable for any adverse outcomes, errors in judgment, deficiencies in use of the Platform, or health consequences resulting directly or indirectly from incorrect, incomplete, or misleading information provided by you orally. While our team members will endeavour to capture orally provided information accurately, the ultimate responsibility for the veracity and completeness of the information shared unequivocally rests with you. You acknowledge that in the absence of call recordings, verifying the precise details of orally communicated information can be challenging, and you agree to hold Early harmless for discrepancies arising from such orally communicated information where Early and its Care Team have acted in good faith based on their understanding of that communication. Early may, at its sole discretion and where feasible, attempt to confirm key orally provided information through other means (e.g., a summary in an App message or email), and you agree to promptly review and correct any inaccuracies in such information.
Privacy Policy: Your privacy is of paramount importance to us. Our Privacy Policy details, with full transparency, how we collect, use, process, store, share, and protect your Personal Information, including your Sensitive Personal Data or Information (SPDI) such as health data. The Privacy Policy is an integral and legally binding part of these Terms. You are strongly advised to review it carefully. By accepting these Terms during onboarding, you provide your explicit, informed, and unequivocal consent to Early for the collection, use, processing, storage, and disclosure of your Personal Information as described in our Privacy Policy and these Terms, for all purposes reasonably necessary for the provision, management, and continuous improvement of the Platform. This single, comprehensive consent obtained at sign-up encompasses all data processing activities detailed in the Privacy Policy that are integral to your participation in the Early program, including the use of health data, data from connected devices, information for teleconsultations, and data for e-prescriptions facilitated through the Platform.
Device Integrations: The Platform is designed to facilitate integration with compatible Continuous Glucose Monitors (CGMs), the Early smart scale (if provided), and various third-party fitness trackers and health platforms (e.g., Apple HealthKit, Google Health Connect). By choosing to connect any such device or platform to the Early App, you explicitly consent to Early accessing, collecting, processing, storing, and displaying the data received from these sources within the App for the sole purposes of the program (e.g., tracking progress, personalizing plans, providing insights to you and your Care Team). This consent is granted for the duration of your program and your active use of such integrations. You are solely responsible for managing your device connections and for understanding the data sharing permissions you grant both to Early and to the respective third-party device/platform providers (whose own terms and privacy policies will also apply and govern their data practices and your use of any such device integrations). Early disclaims all responsibility for the accuracy, functionality, data security, or privacy practices of any third-party devices or platforms. Data obtained from such third-party sources is presented within the App for your informational benefit and to support your program, but should be interpreted with caution and in consultation with your Care Team. Early shall not be liable for any claims, damages, or liabilities arising from your use of or reliance on such third-party devices, platforms, or the data they provide. The smart scale provided by Early is intended for personal wellness tracking and monitoring of body composition metrics only. It is expressly not a diagnostic medical device and should not be used for self-diagnosis or to make independent medical treatment decisions. Data derived from the smart scale must be discussed with your Care Team and interpreted in a clinical context.
Subscription Fees: Access to the Platform is strictly contingent upon the purchase of a subscription plan. You agree to pay all applicable fees for the plan you select, as displayed at the time of purchase or as subsequently communicated to you for renewals or changes. All fees are quoted in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST) and other statutory levies, unless stated otherwise.
Payment Authorisation: You expressly authorise Early and its designated third-party payment processors (e.g., Razorpay, Cashfree Payments) to charge your selected payment method (e.g., credit card, debit card, net banking, UPI) for the subscription fees. You represent and warrant that you are duly authorised to use the chosen payment method and that the payment information you provide is true, accurate, and complete.
Subscription Term and Renewal: Your subscription will be for the term specified in your selected plan (e.g., monthly, quarterly, annually). Details regarding any automatic renewal of your subscription will be clearly communicated to you at the time of purchase or before any such renewal occurs. You will have the option to cancel auto-renewal according to the terms provided.
Cancellation and Refund Policy: You may be eligible to cancel your subscription and request a refund exclusively if, following your initial medical assessment by an Early-affiliated doctor as part of the onboarding process, it is determined by that doctor that you are not medically eligible for the GLP-1 medication component of the Early program, and you consequently elect to discontinue the entire Early program for this specific reason.
Refund Amount Calculation: If you are eligible for a refund under the condition stated above, the refund amount will be calculated as the total subscription fee paid by you, less any direct, non-recoverable costs irrevocably incurred by Early in setting up your program up to the point of cancellation. These deductible costs may include, but are not limited to:
The specific amounts to be deducted will be communicated to you transparently at the time your refund request is processed.
No Other Refunds: Except as explicitly and restrictively stated in this Section 11, all subscription fees are non-refundable. No refunds or credits will be provided for:
Process for Requesting Cancellation and Refund: To request a cancellation and potential refund under the eligible condition, you must contact Early customer support at support@early.fit within seven (7) days of being informed by the Early-affiliated doctor of your ineligibility for the GLP-1 medication component. You may be required to provide documentation or confirmation from the doctor.
Refund Processing Time: Approved refunds will typically be processed within thirty (30) working days from the date of approval and will be credited to the original payment method used for the purchase, where feasible.
Changes to Fees and Plans: Early reserves the unilateral right to modify or amend its subscription plans, fees, or billing methods at any time. We will provide you with reasonable advance notice (e.g., at least thirty (30) days) of any such changes that may affect your existing subscription, typically before your next renewal period.
Invoices: Invoices for your subscription payments will be made available to you electronically via the App or email, as per applicable GST regulations.
Early does not warrant that the Platform (or any updates thereto as described below) is compatible with any hardware or software versions used for access to the Platform, including any specific versions of your mobile device, tablet, computer, or its specific operating system.
Early may choose to provide updates to the Platform at its sole discretion from time to time. You acknowledge that you will be bound by the version of these Terms that are applicable as of the time you access and use any such update to the Platform. Early does not represent or warrant that any future updates to the Platform will provide the same functionality that is provided by the current version of the Platform. When changes are made, Early will provide an updated version of the Terms within our Platform. We will also update the “Last Updated” date at the top of these Terms. Any changes to these Terms will be effective immediately for all users of the Platform. If you do not agree to any change(s), you must stop using the Platform. Otherwise, your continued use of the Platform constitutes your acceptance of such change(s). Early may modify, suspend, or discontinue any Service or feature at any time without liability. Advance notice will be provided where feasible for material changes.
You must maintain the security of your third-party account and promptly notify us if you discover or suspect that someone has accessed your account without your permission. If you permit others to use your account credentials, you are responsible for the activities of such users that occur in connection with your account.
Early’s Intellectual Property: All rights, title, and interest in and to the Platform, including but not limited to the Platform, their design, look and feel, text, graphics, images, videos, audio, software, source code, object code, algorithms (including proprietary methodologies such as ‘My Metabolic Print’), databases, and all content created, developed, or provided by Early or its licensors (excluding User Content as defined below), together with all associated intellectual property rights (including copyrights, trademarks, service marks, patents, trade secrets, and database rights), are and shall remain the sole and exclusive property of Early and/or its licensors. No rights or licenses are granted to you except for a limited, non-exclusive, non-transferable, revocable license to access and use the Platform strictly in accordance with these Terms for your personal, non-commercial use. You shall not use, reproduce, distribute, modify, create derivative works from, or exploit Early’s intellectual property, including trademarks, logos, domain names, or other brand features, without prior express written consent from Early.
User Content: You retain ownership of all user content you submit, post, upload, or otherwise make available through the Platform, including Personal Information, health data, meal logs, activity data, messages, and feedback (“User Content”). By submitting User Content, you grant Early a worldwide, non-exclusive, royalty-free, perpetual, irrevocable (for the duration necessary for the Platform and for archival/legal compliance), sublicensable, and transferable license to use, host, store, reproduce, modify (including formatting), adapt, publish (including anonymized testimonials with your consent), create derivative works from, distribute, perform, and display such User Content solely to operate, provide, develop, improve, and promote the Platform, consistent with our Privacy Policy. This license is subject to all applicable privacy protections and limitations.
Feedback: Any feedback, suggestions, ideas, or improvements you provide regarding the Platform (“Feedback”) shall be deemed non-confidential and Early is hereby granted a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, implement, reproduce, modify, distribute, and otherwise use such Feedback for any purpose without obligation or compensation to you.
We reserve the right to block or remove, with or without notice to you, your User Content for any reason, including, if in our opinion, your User Content violates the Terms, or as may be required by applicable laws and regulations. You agree that your usage of the Platform shall be subject to and governed by any usage requirements established from time to time by Early. Accordingly, you agree to use the Platform in a manner that complies with all applicable laws. You agree not to engage in any of the following prohibited activities when using the Platform, or allow any person to use your access to the Platform to do the same:
Early may change the form or nature of the Platform, and reserves the right to modify, suspend or discontinue your access to it for any reason without notice, in its sole discretion. Early will have no liability whatsoever to you or any third party for any failure of the Platform (including transmitting your data to or from Early's or third party servers) and has no obligation to retain any of your data including Feedback or User Content on its servers or to return your data or Feedback to you before deleting them from its servers.
You acknowledge Early will not be liable for any third party information, data, or communication link made available or hosted by it, and that Early’s role and function is limited to providing access to a communication system over which information made available by third parties is transmitted or temporarily stored (in this instance on the Platform). Early does not initiate the transmission, select the receiver of the transmission, nor select or modify the information contained in such transmission. Being an intermediary, we may review (but make no commitment to review) content or third-party programs or services made available through the Platform, in instances such as where a user has reported certain content, to determine and ensure compliance with our Terms, applicable laws, and regulations.
You use the Platform at your own risk and subject to the following disclaimers:
You expressly acknowledge and agree that all outcomes, including weight loss, health improvements, or other results from using Early’s Platform, are inherently individual and influenced by numerous factors beyond Early’s control. Early makes no warranties or guarantees, express or implied, regarding specific results, timelines, or health outcomes. Testimonials or examples are illustrative only and do not constitute a promise or guarantee of similar results.
THE SERVICES, INCLUDING ALL CONTENT, MATERIALS, AND FUNCTIONALITIES, ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OR REPRESENTATIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, TITLE, OR NON-INFRINGEMENT.
EARLY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, NOR THAT ANY DEFECTS WILL BE CORRECTED.
Early is a technology platform only and does not provide medical advice, diagnosis, or treatment. All medical services, including diagnosis, treatment decisions, and prescriptions, are provided exclusively by independent, licensed medical practitioners affiliated with Early, exercising their own professional judgment. Early expressly disclaims any liability for medical advice, diagnoses, treatments, or prescriptions provided by such practitioners. All health-related information, diet or exercise plans, “My Metabolic Print” results, side effect management, and other guidance provided by Early or its non-medical Care Team members are for informational and educational purposes only and do not substitute professional medical advice. You must consult your primary healthcare provider before starting or changing any treatment, diet, or exercise program. Never disregard or delay seeking professional medical advice based on information obtained through the Platform. Reliance on any such information is solely at your own risk.
Early is not responsible for the accuracy, completeness, reliability, or timeliness of data obtained from third-party devices or platforms integrated with the Platform (e.g., CGMs, Apple HealthKit, Google Health Connect). Such data is provided as-is and should be interpreted cautiously in consultation with your Care Team. Early disclaims all liability arising from your use or reliance on such third-party data.
We shall not be responsible or liable for any commitments, representations, warranties, or obligations made by the doctor or the Care Team to you, including but not to pricing, service levels, or product modifications. Except as expressly stated in these Terms, we disclaim all other warranties, express or implied, including but not limited to any implied warranties of merchantability, non-infringement, or fitness for a particular purpose. Any additional warranties provided by the Care Team to you shall be their sole responsibility. Early is not responsible for the fulfilment of any such warranties made by the doctors or the Care Team and bears no liability for any loss caused to you due to the non-fulfilment of such warranties. You acknowledge that the provisions of this clause are a material inducement and consideration to Early to grant the licenses contained in these Terms and to provide you with access to the Platform.
To the fullest extent permitted by law, except as may be expressly stated herein, in no event will Early, its affiliates, subsidiaries, directors, officers, employees, agents, suppliers, licensors or third party partners be liable for any direct, indirect, special, consequential, incidental, or punitive damages whatsoever (including, without limitation, damages for loss of profits, loss of savings, business interruptions, loss of data, loss of time, loss of goodwill or other pecuniary loss) arising out of or in connection with these Terms, its subject matter, your use of or inability to use the Platform, or your use of or reliance on any data you may access in connection with your use of the Platform, regardless of whether Early or vendors knows or should know of the possibility of such damages. Early’s aggregate liability for all claims shall not exceed the greater of (i) the total subscription fees paid by you to Early during the six (6) months prior to the event giving rise to the claim, or (ii) INR 1,000, whichever is lower. Our liability as a Platform shall be limited to the extent permitted by applicable law and as expressly stated in these Terms. Early shall not be liable for any modifications, misuse, or unauthorised alterations of the products by the Care Team, you, or any third party. Any harm or loss resulting from such actions shall not be attributable to Early.
You agree to indemnify, defend and hold harmless, Early, its affiliates, subsidiaries, directors, officers, employees, agents, suppliers, licensors and third-party partners from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from (a) your use or misuse of the Platform; (b) your breach of these Terms or any applicable laws; (c) your violation of any third-party rights; (d) any User Content you submit that causes harm or loss to others; (e) any inaccurate or misleading information you provide; and (f) our negligent or wrongful acts or omissions. Early reserves the right to assume exclusive control of any defence and settlement of any claim subject to indemnification by you.
If any third party brings a claim (“Third Party Claim”) against us related to your actions, information, or content on the Platform, you will, to the extent permitted by law, indemnify and hold Early harmless from and against all liabilities, damages, losses, and expenses of any kind (including reasonable legal fees and costs) relating to, arising out of, or in any way in connection with any of the following: (a) your access to or use of the Platform, including information provided in connection therewith; (b) your breach of our Terms or of applicable law; or (c) any misrepresentation made by you. You will cooperate as fully as required by us in the defence or settlement of any Third Party Claim. Your rights with respect to this Platform are not modified by the foregoing indemnification if the laws of your country of residence, applicable as a result of your use of the Platform, do not permit it.

Communications from Early:
Referral Program: If applicable, referral program terms will be provided at the time of participation and govern eligibility and rewards.
Termination by Early: Early may suspend or terminate your Account immediately without notice or liability for any breach, misconduct, false information, legal requirement, security issue, inactivity, or non-payment.
Termination by User: You may terminate your Account at any time by contacting support@early.fit. Refunds are subject to Section 11 of these Terms (Payments, Subscriptions, Cancellations, and Refunds).
Effect of Termination: Upon termination:
These Terms shall be governed by and construed in accordance with the laws of India, excluding its conflict of law principles. In the event of any dispute arising out of or relating to these Terms, you agree to first attempt to resolve the matter amicably through good faith negotiations for a period of at least thirty (30) days. If the dispute remains unresolved after such period, it shall be finally settled by binding arbitration conducted in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually appointed by you and Early, and if we fail to agree on an arbitrator within thirty (30) days, the arbitrator shall be appointed by a competent court in New Delhi. The venue of arbitration shall be New Delhi, India, and the proceedings shall be conducted in English. The arbitration award shall be final, binding, and enforceable on the us and you. Unless otherwise awarded by the arbitrator, the costs of arbitration shall be shared equally between us. Subject to the arbitration clause above, these Terms are subject to the exclusive jurisdiction of the courts in New Delhi, India.
Injunctive Relief: Early may seek injunctive or equitable relief in any competent court to protect its intellectual property or confidential information.
Entire Agreement: These Terms, Privacy Policy, and any incorporated documents constitute the entire agreement, superseding prior communications.
Severability: Invalid or unenforceable provisions shall be modified or severed to preserve the remainder of the Terms.
No Waiver: Failure to enforce any provision is not a waiver unless in writing and signed by Early.
Assignment: You may not assign these Terms without Early’s written consent. Early may assign or subcontract rights or obligations without notice or consent.
Force Majeure: The defaulting Party shall not be liable to the other Party or be deemed to be in breach of this Agreement by reason of any delay in performing or observing, or any failure to perform or observe, any of its obligations under this Agreement, if the delay or failure was due to any event which is not within the reasonable control, of the defaulting Party, and with the exercise of due diligence, was not reasonably foreseeable and could not reasonably be prevented, avoided or removed by such defaulting Party through the exercise of reasonable skill or care, and does not result from the defaulting Party’s negligence or the negligence of its agents, employees or sub-contractors, which causes the defaulting Party to be delayed, in whole or in part, or unable to partially or wholly perform its obligations under this Agreement (“Force Majeure Event”). Force Majeure Event shall include the following: (i) acts of God, pandemic, endemic, fire, flood, lightning, storm, storm warning, typhoon, tornado, earthquake, landslide, soil erosion, subsidence, washout, epidemics, volcanic activity, tsunami or other natural disaster; (ii) lawful strike or lockout, or other industrial action; and/or (iii) event of war, invasion, act of a foreign enemy, hostilities, terrorism, revolution, rebellion, mutiny or civil war.
No Agency or Partnership: No agency, partnership, joint venture, or employment relationship is created by these Terms.
Notices: Notices shall be given by Early via email, website posting, or in-App notification. Email notices are effective upon transmission.
